Terms of Service
These Terms of Service ("Terms") govern your access to and use of the payment.devinsidercode.com platform (the "Service") operated by Devinsidercode Corp ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Description of Service
Devinsidercode Corp operates a SaaS payment platform purpose-built for optical and vision care providers. We enable Merchant clients to:
- Accept in-person and online payments through provisioned point-of-sale terminals and API-based payment flows.
- Submit payment applications on behalf of end-users / patients to Stripe, Inc. for processing.
- Manage subscriptions, including plan upgrades, downgrades, and cancellations.
- Access complaint and dispute handling support.
- Benefit from Stripe processing fee quotas purchased and allocated by Devinsidercode Corp on their behalf.
The Service acts as a payment infrastructure intermediary. We are not a bank and do not hold, transfer, or store end-user funds. All payment processing is performed by Stripe, Inc.
2. Stripe as Payment Processor
All payment transactions facilitated through the Service are processed by Stripe, Inc. Merchants and their end-users are also subject to Stripe's Terms of Service. Devinsidercode Corp purchases Stripe processing fee quotas and allocates them to Merchants as part of their subscription. Stripe account: acct_1TABqAHN2CCBIp6.
3. Point-of-Sale Terminals
Devinsidercode Corp orders, configures, and provisions physical payment terminals for Merchants through Stripe's hardware program. Terminals remain associated with the Merchant's account on our platform. Merchants are responsible for the safe use, custody, and return (if applicable) of provisioned hardware. Loss or damage of terminal hardware may result in replacement charges.
4. Merchant Responsibilities
As a Merchant, you agree to:
- Use the Service exclusively for lawful payment processing activities within the optical and vision care sector.
- Provide accurate business, practice, and contact information.
- Safeguard your API keys, credentials, and provisioned terminal hardware. You are responsible for all activity under your account.
- Comply with all applicable laws and regulations, including HIPAA where applicable, consumer protection laws, and Stripe's acceptable use policy.
- Obtain all necessary consents from end-users / patients prior to collecting and transmitting their payment data through our platform.
- Notify us promptly of any unauthorized access, security breach, or terminal hardware issue.
5. Payment Applications & Data Transmission
By submitting a payment application through the Service, you authorize Devinsidercode Corp to transmit the relevant data to Stripe on your behalf. You warrant that all required end-user consents have been obtained.
6. Fee Quotas
Devinsidercode Corp purchases Stripe processing fee quotas and allocates them to Merchants as part of the subscription plan. Quota limits and overage policies are defined in the plan documentation provided at onboarding. Unused quotas do not roll over unless otherwise agreed in writing.
7. Complaint Handling
We provide complaint and dispute management support for Merchants. To file a complaint, contact support@devinsidercode.com. We acknowledge complaints within 3 business days and aim to resolve within 15 business days. Stripe-level disputes may take longer subject to Stripe's own resolution timelines.
8. Subscriptions & Billing
Access to the Service requires an active subscription. Billing follows the plan selected at onboarding. We reserve the right to update pricing with 30 days' notice. Non-payment may result in suspension or termination of access to the Service and associated terminals.
9. Uptime & Availability
We aim for high availability but do not guarantee uninterrupted access. Scheduled maintenance, Stripe platform events, or force majeure may cause temporary unavailability. We are not liable for losses arising from Service downtime.
10. Limitation of Liability
To the maximum extent permitted by law, Devinsidercode Corp shall not be liable for:
- Indirect, incidental, special, or consequential damages.
- Losses arising from Stripe's processing decisions, delays, or errors.
- Unauthorized account access resulting from failure to secure credentials.
- Transaction disputes or chargebacks initiated by end-users / patients.
- Loss or damage to provisioned terminal hardware while in Merchant custody.
Our total aggregate liability shall not exceed the fees paid by you to us in the 3 months preceding the claim.
11. Termination
Either party may terminate the service arrangement with 30 days' written notice. We reserve the right to immediately suspend or terminate access for breach of these Terms, fraudulent activity, or violation of Stripe's policies. Upon termination, credentials are revoked and provisioned terminals must be returned or deactivated per our offboarding procedure.
12. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated by email or platform notice at least 14 days in advance. Continued use after the effective date constitutes acceptance.
13. Governing Law
These Terms are governed by applicable law. Disputes shall be resolved first through good-faith negotiation, and if unresolved, through binding arbitration or courts of the jurisdiction in which Devinsidercode Corp is registered.
